By accessing and using DefiPOS ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this service.

Non-Custodial Service - Critical Understanding

READ THIS CAREFULLY: DefiPOS is a non-custodial software provider. This means:

• We do not hold, manage, control, or have access to your private keys or cryptocurrency funds
• We cannot recover lost accounts, passwords, or seed phrases
• We cannot reverse, cancel, or refund transactions once confirmed on the blockchain
• We cannot retrieve "lost" or "stuck" funds
• You are the sole custodian of your digital assets
• All cryptocurrency transactions are final and irreversible

If you lose your wallet credentials or send funds to the wrong address, we cannot help you. You accept full responsibility for the security and management of your cryptocurrency assets.

Description of Service

DefiPOS is a non-custodial point-of-sale software tool that enables merchants to monitor cryptocurrency payments. The service provides a user interface for generating payment requests and monitoring blockchain transactions. DefiPOS does not process, hold, or transmit funds.

All cryptocurrency payments occur directly on public blockchains between customer wallets and merchant wallet addresses. DefiPOS merely observes these transactions via third-party blockchain infrastructure providers.

Pricing and Fees

Free Tier

DefiPOS is free to use. We do not charge transaction fees or take a percentage of your payments. You receive 100% of customer payments directly to your wallet addresses.

Pro Tier (Optional)

An optional Pro subscription is available for a monthly fee, providing enhanced features and priority support. Subscription fees are non-refundable.

Network Fees (Gas)

Important: Blockchain network fees (gas) are separate from DefiPOS fees. Network fees are paid to blockchain miners/validators and are beyond our control. DefiPOS is not responsible for:

High network fees during periods of congestion
Failed transactions due to insufficient gas
Delayed confirmations due to low gas prices
Network fee fluctuations

User Responsibilities

By using DefiPOS, you represent and warrant that:

You will maintain the security of your account credentials and private keys
You will provide accurate wallet addresses for payment receipt
You will use the service for lawful purposes only
You comply with all applicable laws and regulations in your jurisdiction
You are not located in, or a resident of, any country subject to international sanctions
You are not on any sanctions list (including but not limited to OFAC, UK Sanctions List, EU Sanctions List)
You will ensure customers use the correct payment reference/memo/tag as generated by the system
You understand that cryptocurrency transactions are irreversible
You will not attempt to exploit, harm, or reverse-engineer the service

Payment Reference/Memo Responsibility

Important: Users are responsible for ensuring their customers include the correct Memo/Tag/Reference as generated by DefiPOS when making payments.

Failure to include the correct metadata may result in a payment not being recognized by the DefiPOS interface. While the funds will still arrive at your wallet address (visible on the blockchain), the DefiPOS UI may not automatically detect the payment. We are not responsible for payments made without proper reference data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

WE ARE NOT RESPONSIBLE FOR:

BLOCKCHAIN NETWORK DOWNTIME OR CONGESTION
THIRD-PARTY RPC PROVIDER FAILURES OR OUTAGES
INCORRECT WALLET ADDRESSES PROVIDED BY USERS
LOST REVENUE DUE TO MISSED PAYMENTS OR SYSTEM ERRORS
CRYPTOCURRENCY PRICE VOLATILITY
REGULATORY CHANGES AFFECTING CRYPTOCURRENCY USE
LOSS OF FUNDS DUE TO USER ERROR OR NEGLIGENCE

YOU USE THE SERVICE AT YOUR OWN RISK. WE PROVIDE THE SOFTWARE TOOL; YOU PROVIDE THE RESPONSIBILITY.

Market volatility and price fluctuations
Network congestion and delays
Irreversible transactions
Regulatory and compliance risks
Technical vulnerabilities
Smart contract risks
Wallet security risks

Prohibited Activities

Users are strictly prohibited from using DefiPOS for:

Illegal activities under any applicable jurisdiction
Money laundering or structuring transactions to avoid reporting requirements
Terrorist financing or providing material support to sanctioned entities
Sanctions violations - transactions with individuals or entities on OFAC, UK, or EU sanctions lists
Fraudulent transactions or misrepresentation of goods/services
Tax evasion or failure to report taxable income
Interfering with service operations or attempting to gain unauthorized access
Exploiting vulnerabilities or reverse-engineering the software
Sharing account credentials or allowing unauthorized use of your account

We reserve the right to terminate accounts suspected of engaging in prohibited activities and to cooperate with law enforcement investigations.

Intellectual Property

The service and its original content, features, and functionality are owned by DefiPOS and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the service without explicit written permission.

Limitation of Liability

To the maximum extent permitted by applicable law:

In no event shall DefiPOS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits or revenue
Loss of cryptocurrency or digital assets
Loss of data or transaction records
Business interruption or missed sales opportunities
Reputational damage
Cost of substitute services
Any other intangible losses

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising from or relating to the service shall not exceed the amount you paid us in the 12 months prior to the claim (which may be $0 if you use the free tier).

Account Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason including but not limited to:

Violation of these Terms of Service
Suspected illegal activity or sanctions violations
Fraudulent or abusive behavior
Non-payment of Pro subscription fees
Extended period of inactivity

Non-Custodial Termination

Important: Upon termination, your access to the DefiPOS user interface will cease immediately. However, since DefiPOS is a non-custodial service, your cryptocurrency funds remain on the blockchain and are fully accessible via any compatible wallet software using your private keys or seed phrase.

We are not "freezing" or "confiscating" your funds—we are simply revoking your access to our software interface. Your assets remain under your sole control.

Regulatory Compliance

DefiPOS is a software tool, not a financial service provider. Merchants are responsible for their own tax reporting and regulatory compliance in their jurisdiction. The Service does not provide tax or legal advice.

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are accessing the service from outside the United Kingdom, you are responsible for compliance with local laws in your jurisdiction.

Indemnification

You agree to indemnify, defend, and hold harmless DefiPOS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use or misuse of the service
Your violation of these Terms
Your violation of any third-party rights
Your violation of applicable laws or regulations
Any cryptocurrency transactions you conduct

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address at least 14 days before taking effect.

Continued use of the service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the service.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and DefiPOS regarding the use of the service and supersede all prior agreements and understandings.
